Karol Maciej Szymański
Managing Partner of the law firm RKKW - KWAŚNICKI, WRÓBEL & Partners. Graduate of the Faculty of Law and Administration at the University of Warsaw. He holds the title of Certified Alternative Trading System Advisor No. 9/2014 awarded by the Warsaw Stock Exchange. Recommended Lawyer by Legal 500 EMEA in the years 2021 - 2024 in the area of Private Client and Dispute Resulution, and in 2024 in the area of Commercial, Corporate And M&A.
For more than a dozen years, he has served as a member of supervisory boards (including being delegated to perform supervisory activities on a permanent individual basis) and audit committees of a number of public and non-public companies, representing various sectors of the economy (including the financial, IT, FMCG, construction and construction-related sectors). He performed the duties of a supervisory board member in, inter alia, public companies Emperia Holding S.A., North Coast S.A., Triton Development S.A., Radpol S.A., Kredyt Inkaso S.A. and COMP S.A.
He has served as a member of the management board in domestic commercial law companies, including the role of interim manager in the parent company of an international human resources management group with annual revenues of approximately PLN 0.5 billion. Since October 2022, he has performed the role of interim forced administrator established under the so-called Polish Sanctions Act against Novatek Green Energy sp. z o.o. Participant in legislative work. Co-author of the 2020 amendment to the Commercial Companies Code regarding remote meetings of supervisory and management boards and electronic shareholder meetings. One of the authors of the draft of the so-called large amendment of the Commercial Companies Code of 2020 concerning the improvement of the efficiency of supervisory boards and the holding’s law.
Author and co-author of publications on practical aspects of commercial law, with particular emphasis on capital market law, including a commentary to the Commercial Companies Code under the editorship of Prof. Andrzej Szumański, Dr. Radosław L. Kwaśnicki and Dr. Filip Ostrowski, published by C.H.Beck as part of the Big Beck Commentaries series. Lecturer at numerous conferences and seminars on business law.
